Aina Protocol – Terms of Service

1. Platform Purpose

Aina Protocol is a property information and collaboration platform that allows property owners, associations (AOAOs), property managers, and independent contractors to access, contribute, and manage property-related information. The Platform also includes a neutral job marketplace that enables users to connect directly with one another.

Aina Protocol is not a property manager, contractor, inspector, broker, legal advisor, or insurer, and does not provide professional advice.

2. Eligibility & Account Responsibility

You must be at least 18 years old to create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity conducted under your account
• Ensuring information you provide is accurate and current

3. User Roles

Users may include, but are not limited to:

• Property Owners
• AOAOs / HOAs
• Property Managers
• Independent Contractors

Permissions, access levels, and features may vary by role.

4. User Content & Contributions

You may upload or submit content such as documents, events, job postings, photos, and other information ("User Content").

By submitting User Content, you represent and warrant that:

• You are legally authorized to share the content
• The content is accurate to the best of your knowledge
• The content does not violate applicable laws or third-party rights

Aina Protocol does not verify or review User Content for accuracy.

5. Document Upload Guidelines

Only upload documents you are legally authorized to share.

Allowed Content

• AOAO/HOA documents
• Maintenance records
• Permits, warranties, inspection reports
• Approved financial summaries
• Public or owner-accessible records

Unit-level documents may be uploaded only with proper authorization and appropriate access restrictions.

Prohibited Content

• Personal identifying or contact information (SSNs, ID numbers, phone numbers, emails, mailing addresses)
• Financial data (bank or card information)
• Medical or employment records
• Legal or privileged communications
• Any document you do not have the right to disclose

If a document contains sensitive or unit-specific information, it must be redacted and uploaded with restricted visibility.

Aina Protocol reserves the right to remove content that violates these guidelines.

6. Event Posting Guidelines

Events must reflect actual work, inspections, incidents, or maintenance activity related to the selected building or unit.

By posting an event, you confirm that:

• You are authorized by the AOAO, property manager, or owner
• The information is accurate to the best of your knowledge
• You have the right to share the information

Events are informational records only and do not represent fault, liability, or responsibility.

You may not post:

• Personal identifying or contact information
• Financial or payment disputes
• Legal opinions, blame, or fault attribution
• Defamatory, speculative, or harassing content
• Marketing or promotional material

7. Visibility, Redaction & Aggregation

User Content may be visible to others or included in public or paid property reports unless marked as private or restricted.

You are solely responsible for:

• Selecting appropriate visibility settings
• Properly redacting sensitive information

Aina Protocol may aggregate content into reports or summaries but does not guarantee completeness or accuracy.

8. Job Board & Marketplace Disclaimer

Aina Protocol provides a neutral online marketplace only.

We do not:

• Vet, supervise, endorse, or control contractors
• Act as an employer, agent, broker, or guarantor
• Manage payments, contracts, or disputes

All agreements, work, payments, permits, compliance, and disputes are solely between users.

Users are responsible for verifying licenses, insurance, bonding, permits, and legal compliance.

9. Required Job Posting Acknowledgments

By posting a job, you acknowledge and agree that:

• You are authorized to post on behalf of the property or AOAO
• Contractors are independent third parties
• Aina Protocol does not guarantee contractor performance
• All payments and contracts are handled directly
• Any disputes are solely between you and the contractor
• You agree to indemnify and hold harmless Aina Protocol from claims arising from job postings or work performed

10. Paid Features & Reports

Certain features, tools, or reports may require payment or a subscription. Fees, if applicable, will be disclosed at the time of purchase.

11. License to Use Content

You grant Aina Protocol a non-exclusive, worldwide, royalty-free license to host, display, reproduce, aggregate, and distribute User Content as part of the Platform and related reports.

You retain ownership of your content.

12. Prohibited Conduct

You agree not to:

• Upload unauthorized or illegal content
• Misrepresent authority or affiliation
• Attempt to access restricted systems
• Use the Platform for harassment or fraud

13. Termination

We may suspend or terminate accounts that violate these Terms or applicable law.

14. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

AINA PROTOCOL DOES NOT GUARANTEE ACCURACY, COMPLETENESS, OR AVAILABILITY OF CONTENT.

15. Limitation of Liability

To the fullest extent permitted by law, Aina Protocol shall not be liable for indirect, incidental, consequential, or punitive damages arising from platform use.

16. Indemnification

You agree to indemnify and hold harmless Aina Protocol from any claims arising from your use of the Platform or User Content.

17. Governing Law

These Terms are governed by the laws of the State of Hawaii, without regard to conflict-of-law principles.
